IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INCLUDING A BINDING ARBITRATION PROVISION AND GOVERNING LAW STIPULATIONS.

The following Terms of Service (these “Terms”) govern your access to and use of the web and mobile services operated under the Esports Pulse brand (“we”, “us”, or “our”), including esportspulse.com (collectively, the “Services”). Esports Pulse is operated by REDBLUE HORIZON PTE. LTD., a company incorporated under the laws of Singapore.

By continuing to use the Services, you agree to be bound by these Terms of Service and to use the Services in accordance with these Terms, our Privacy Policy, our Cookie Policy, and any additional terms and conditions that are referenced herein or that otherwise may apply to specific sections of the Services. Accessing the Services, in any manner, whether automated or otherwise, constitutes use of the Services and your agreement to be bound by these Terms.

All references to “you” or “your,” as applicable, mean the person who accesses or uses the Services, and each of your heirs, assigns, and successors. If you use the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed an acceptance by that entity, and “you” and “your” herein shall refer to that entity.

We reserve the right to revise these Terms or impose new conditions on use of the Services from time to time. We will post the revised Terms on this website and update the “Effective Date” to reflect the date of changes. For material changes that impact your legal rights, we will provide at least thirty (30) days' prior notice via a prominent notice on the Services. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

Privacy

Please review our Privacy Policy and Cookie Policy, which also govern your use of the Services, to understand our practices regarding the information we collect about you through the Services. By using the Services, you indicate that you have read and understand our Privacy Policy, including its disclosures regarding the collection, use, and disclosure of your information in accordance with the Singapore Personal Data Protection Act (PDPA) and other applicable global data protection regulations.

Rights and Restrictions Relating to Services Content

Your Limited Right to Use Services Materials

The Services (including, but not limited to, text, images, photographs, graphics, user interface, screen shots, video and audio content, designs, and computer code, and the selection, coordination, and arrangement of such content) and all the materials available on the Services are the property of Esports Pulse and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Services are provided solely for your personal noncommercial use. You may not use the Services or the materials available on the Services in a manner that constitutes an infringement of our rights or that has not been authorized by us. More specifically, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Services.

You may, however, download and/or print one copy of individual pages of the Services for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices. You may also share, quote or republish short excerpts of our editorial content for non-commercial purposes, provided that you clearly attribute the source to Esports Pulse and include a direct link back to the original article. Commercial reproduction or full republishing of our content requires our prior written consent.

Trademark Rights

All rights in the Esports Pulse name, logo, tagline, product names, service marks, trade dress, slogans, and other brand identifiers belong exclusively to Esports Pulse or its licensors, and are protected from reproduction, imitation, dilution, or confusing or misleading uses under national and international trademark and copyright laws. You may not use our trademarks, service marks, or brand assets for any commercial purpose, or to imply affiliation, sponsorship, or endorsement by us, without our prior written consent.

Third-Party Intellectual Property

All game titles, tournament trademarks, team logos, and other third-party intellectual property referenced on the Services are the property of their respective owners. References to such property are for informational and editorial purposes only and do not imply any affiliation with or endorsement by the rights holders.

Our Right to Use Materials You Submit or Post

When you submit or post any material via the Services, you grant us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, transferable, sublicensable worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium for any purpose that we choose. You will not receive any compensation of any kind for the use of any materials submitted by you, unless otherwise agreed in a separate written agreement between you and us.

Automated Access Restrictions

You may not use any automated or manual process, including but not limited to “robots,” “spiders,” “scrapers,” or similar technologies, to monitor, extract data from, copy, or distribute any data from the Services, our network, or databases. This restriction does not apply to standard public search engine crawlers operating within reasonable limits and in compliance with our robots.txt file.

Limitations on Linking and Framing

You are free to establish a hypertext link to our Services so long as the link does not state or imply any sponsorship of your website or service by us or by our Services. However, you may not, without our prior written permission, frame or inline link any of the content of our Services or incorporate into another website or other service any of our material, content, or intellectual property.

Your Responsibilities; Restricted Content

By accessing and using the Services, you agree not to post, submit, or transmit any content or material through the Services that:

• Infringes upon or violates the intellectual property rights, or the rights of privacy or publicity of any third party;
• Is false, misleading, libelous, defamatory, or otherwise misrepresents facts or your affiliation with any person or entity;
• Is obscene, pornographic, sexually explicit, vulgar, or in poor taste;
• Is abusive, harassing, predatory, hateful, or intended to intimidate, threaten, or harm any individual or group;
• Contains or transmits any adware, malware, spyware, viruses, or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
• Interferes with or disrupts the Services, servers, or networks, or disobeys any requirements, procedures, policies, or regulations of networks connected to the Services.

We reserve the right, but not the obligation, to review, moderate, remove or disable access to any user-submitted content that, in our sole discretion, violates these Terms or applicable law, without prior notice.

Registration and Security

To access certain features of our Services (such as Newsletters or premium content), you may be asked to register with us and provide certain information. You agree to provide true, accurate, current, and complete information as required by any registration process. Our use of any information you provide to us is governed by the terms of our Privacy Policy.

You are responsible for maintaining the confidentiality of any password and account you create and are responsible for all activities that occur under your account. We cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information.

You must be 18 years or older to use the Services. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at our sole discretion.

You may request account deletion and removal of your personal data at any time by contacting us at the email provided in our Privacy Policy. We will process such requests in accordance with applicable data protection laws and our data retention policy.

If you subscribe to our newsletter or other email communications, you may opt out at any time by using the unsubscribe link included in every email. We will process your opt-out request promptly.

Third-Party Dealings and Links

Throughout our Services, we may provide links and pointers to websites maintained by third parties. Our linking to such third-party sites does not imply an endorsement, sponsorship, or recommendation of such sites. Your interactions with companies, organizations, and/or individuals found on or through the Services are solely between you and such parties. You agree that we will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE MATERIALS ON THIRD-PARTY SITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE.

Modifications to, or Discontinuation of, the Services

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services, or any portion thereof, with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. WE PROVIDE THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO ESPORTS PULSE AND ITS OPERATING ENTITY (INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, AND NON-INFRINGEMENT). WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR ERROR-FREE.

The Services and all content published thereon are provided for general informational and industry reference purposes only, and are not intended to constitute financial, investment, legal, business or professional advice of any kind. We make no representations as to the accuracy, completeness or timeliness of any content, and assume no obligation to update, correct or revise any published content after the date of publication. Reliance on any information provided on the Services is solely at your own risk. Opinions expressed in interviews, columns, guest contributions or authored articles represent solely the views of the respective author(s) or interviewee(s), and do not reflect the official position of Esports Pulse.

Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL WE OR OUR AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, OR CONTRACTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS SITE, INCLUDING ITS MATERIALS OR THIRD-PARTY MATERIALS MADE AVAILABLE THROUGH THIS SITE. THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF ESPORTS PULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY USER. IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total amount of fees, if any, paid by you to us in the twelve (12) months preceding the date the claim arose. For free-of-charge Services, the maximum aggregate liability shall be SGD 100 or its equivalent in local currency. The limitations set forth in this Section shall not apply to liability for fraud, willful misconduct, gross negligence, bodily injury, or any other liability that cannot be limited by law.

Indemnification

You agree to indemnify and hold harmless Esports Pulse, our affiliates, and our respective directors, officers, employees, agents, and representatives from and against any and all losses, expenses, damages and costs, including reasonable attorneys’ fees, that arise out of your use of the Services, violation of these Terms by you, or your violation of any rights of another.

Notice of Infringement

If you are a rights holder who believes your copyrighted material, trademark, privacy right, or other intellectual property or legal right has been infringed via the Services, please inform us by sending written notice to:

Please include: (1) a detailed description of the protected right and allegedly infringing material; (2) a description of the location of the allegedly infringing material on the Services; (3) your contact information; (4) a statement indicating your good-faith belief that the use is unauthorized; and (5) a physical or electronic signature affirming the accuracy of the notice under penalty of perjury.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination or invalidity thereof, shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding upon the parties.

Global Usage Restrictions

The Services are operated from the Republic of Singapore and are intended for a global audience. By using the Services, you agree to the transfer and processing of any personal information you provide to Singapore and other applicable jurisdictions as set forth in the Privacy Policy, under the laws of the Republic of Singapore.

Miscellaneous

This agreement constitutes the entire agreement between us and you with respect to the subject matter contained herein and supersedes all previous and contemporaneous agreements, both written and oral. This agreement will be governed by and construed in accordance with the laws of the Republic of Singapore, without giving effect to any principles of conflicts of law.The failure of Esports Pulse to enforce any provision(s) of these Terms shall in no way waive our right to subsequently enforce any of these Terms. If any provision of this agreement is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from this agreement and will not affect the validity and enforceability of any remaining provisions. These Terms are not intended to benefit any third party and do not create any third-party beneficiaries.

Force Majeure

Neither Party shall be liable for any failure or delay in performing its obligations under these Terms to the extent caused by an event of force majeure, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, widespread telecommunications or internet failures, or disruptions of third-party service providers beyond the reasonable control of the affected Party. The affected Party shall notify the other Party promptly and use reasonable efforts to mitigate the impact of the event.

All formal legal notices or communications relating to these Terms shall be in writing and delivered to the respective Parties at the following addresses:

• To you: to the email address associated with your account, or such other address as you may provide in writing.

Notices shall be deemed received on the date of delivery if delivered personally, or on the next business day if sent by email during normal business hours.
